Current Model Release as of August 1, 2019
1. For Consideration (Model’s time/rates and Photographer’s normal session fee) herein acknowledged as received, and by signing this release I, ((Model.Name)), "Model", hereby give Willard Poindexter, "Photographer", and Assign Will Poindexter Photography my permission to license the Content obtained from Shoot on ((Shoot.Date)) and to use the Content in any Media for any purpose (except pornographic or defamatory) which may include, among others, commercial, advertising, promotion, marketing and packaging for any product or service. I agree that the Content may be combined with other images, text, graphics, film, audio, audio-visual works; and may be cropped, altered or modified. I acknowledge and agree that I have consented to publication of my ethnicity(ies) as indicated below, but understand that other ethnicities may be associated with me by the Photographer for descriptive purposes.
2. I agree that I have no rights to the Content, and all rights to the Content belong to the Photographer and Assigns. I acknowledge and agree that I have no further right to additional consideration or accounting, and that I will make no further claim for any reason to Photographer or Assigns. I acknowledge and agree that this release is binding upon my heirs and assigns. I agree that this release is irrevocable, worldwide and perpetual, and will be governed by the laws (excluding the law of conflicts) of the country/state from the following list that is nearest to the address of the Model given opposite: New York, Alberta, England, Australia and New Zealand.
3. It is agreed that my personal information will not be made publicly available but may only be used directly in relation to the licensing of the Content where necessary (e.g. to defend claims, protect rights or notify trade unions) and may be retained as long as necessary to fulfill this purpose, including by being shared with sub-licensees / assignees of the Photographer and transferred to countries with differing data protection and privacy laws where it may be stored, accessed and used. I represent and warrant that I am at least 18 years of age and have the full legal capacity to execute this release.
4. I waive any right to inspect or approve the finished Content, advertising copy, accompanying text, or other printed or visual matter that may be used in conjunction therewith, or to inspect or approve any version of any use(s) to which the Images may be employed or used in conjunction therewith.
5. I release and discharge Photographer and those acting under his authority from any and all liabilities, claims and demands arising out of or relating to any blurring, distortion, or alteration, whether intentional or otherwise, that may occur or be produced in connection with Images, or in connection with any processing, alteration, transmission, display, or publication of Content.
6. I represent that I am not affiliated with any model agency and have made no other agreement, whether written or oral, pertaining to the creation, use or publication of any Content.
7. In consideration for this Shoot, the Photographer will provide unedited photographs within 72 hours on a private website at reduced quality/resolution for Photographer's convenience. Model has one week to select up to 10 photographs for retouching. Photographs on the website are for aiding Model in selections of photographs to be retouched by the Photographer. THE PROOFS WILL NOT BE POSTED ANYWHERE. If the model has not selected photographs to be edited within 1 week of receiving private website address, then the Photographer can select any 5 images of his choice and provide to the Model at Photographer’s convenience.
8. Photographer agrees to provide 10 retouched photographs at 1250x1250 pixel on private website to Model within 7 days of Model providing Photographer with his/her selection of images. Model may display Content UNALTERED on personal online website or social media. By no means may Content be sold without photographer's written consent.
9. I, Willard Poindexter, grant ((Model.Name)) a ONE YEAR limited non exclusive usage of any 1 (one) images from the 10 images selected. Full high resolution files will be provided by separate email. Model may make copies of image for sale under the following condition: Photographer's watermark will NOT BE REMOVED from image. I,((Model.Name)) agree to compensate the Photographer, Willard Poindexter, $100.00 per image if the Photographer's watermark is removed from image without Photographer's permission OR image is use beyond terms of this agreement. This usage agreement is non transferable.
10. I understand at anytime I should display the the Images, I agree to credit Photographer's work by displaying "(c) ((Branding.Name))" on the Images if the Photographer's watermark is not already on images.
11. I, ((Model.Name)), acknowledge that I have read this release and understand the terms and conditions in it. I further that Photographer, as defined herein, relies on the accuracy of my representations.
12. Definitions: “ASSIGNS” means a person or any company to whom Photographer has assigned or licensed rights under this release as well as the licensees of any such person or company. “CONSIDERATION” means $1 or something else of value I have received in exchange for the rights granted by me in this release. “CONTENT” means all photographs, film, audio, or other recording, still or moving, taken of me as part of the Shoot. “MEDIA” means all media including digital, electronic, print, television, film, radio and other media now known or to be invented. “MODEL” means me and includes my appearance, likeness and voice. “PARENT” means the parent and/or legal guardian of the Model. Parent and Model are referred to together as “I” and “me” in this release, as the context dictates. “PHOTOGRAPHER” means photographer, illustrator, filmmaker or cinematographer, or any other person or entity photographing or recording me. “SHOOT” means the photographic, film or recording session described in this form.
